Terms of service
ARCHIBI AI TERMS OF SERVICE
Effective Date: January 1, 2024
Last Updated: September 15, 2026
These Terms of Service (“Terms”) are an agreement between you and Uritect Inc., an Ontario corporation (“Uritect,” “Archibi,” “we,” “us,” or “our”), regarding your access to and use of the Archibi AI mobile applications, websites, AI-generation features, subscriptions, credits, content, directories and related services (collectively, the “Services”).
Please read these Terms carefully. By creating an account, accessing or using the Services, purchasing a subscription or credits, or affirmatively accepting these Terms, you agree to be bound by them. If you do not agree, do not use the Services.
Nothing in these Terms limits any consumer right or remedy that cannot lawfully be limited or waived.
1. Who May Use Archibi
You must be legally capable of agreeing to these Terms.
You may create and manage an Archibi account yourself if you are at least 16 years old, subject to any higher minimum age required where you live.
If you are under 16, you may use Archibi only where permitted by law and with the permission and supervision of a parent or legal guardian who agrees to these Terms on your behalf. Uritect may require reasonable verification of parental or guardian consent and may restrict features available to minor accounts.
If you have not reached the age of majority where you live, your parent or legal guardian is responsible for supervising your use of the Services.
Important restriction concerning AI features: Archibi currently prohibits submission through its AI-generation tools of images, videos or personal information relating to any person under 18. This restriction applies even where a parent or guardian has given permission. Certain AI features therefore may be restricted for users under 18.
If you use Archibi on behalf of a company, architecture firm, design practice or other organization, you represent that you have authority to bind that organization to these Terms.
2. Your Account
You agree to provide accurate, current and complete registration information and to keep it updated.
You are responsible for protecting your password, authentication credentials and devices and for activity conducted through your account. You may not sell, rent or transfer your account.
Please notify us promptly at [email protected] if you believe your account has been accessed without authorization.
You may not create multiple or fraudulent accounts to obtain repeated welcome credits, free trials, promotions or other benefits intended to be provided once per user or household.
3. What Archibi Provides
Archibi provides digital tools for exploring and visualizing design concepts, including features that may include:
Photo-to-Render; interior, exterior and garden redesign; Beautiful and Creative redesign modes; Sketch-to-Render; design-style exploration; an Idea Bank; furniture and décor discovery; Find a Pro; project storage; downloadable renders; and other features Uritect may introduce.
Features may vary by device, country, subscription plan, technical availability, model availability and product version.
Archibi may use third-party artificial-intelligence technology to provide some of these Services.
4. Third-Party Artificial Intelligence Processing
Archibi currently uses Black Forest Labs FLUX.2 [max] through Replicate to provide AI-generation and image-editing functionality.
When you submit an AI-generation request, information necessary to perform that request—including your prompt, uploaded photograph or sketch, generation settings and related technical data—may be transmitted to Replicate, Black Forest Labs and their infrastructure/service providers.
Where required, Archibi will ask for your explicit permission before transmitting personal information or uploaded content to third-party AI providers.
You should not use an AI feature unless you are comfortable having the submitted content processed by the applicable AI providers as described in our Privacy Policy.
Third-party models and providers may change. Uritect may replace, add or remove AI providers where reasonably necessary to operate or improve the Services. If such a change materially changes how personal information is processed, we will provide notice and obtain additional consent where required by law or platform rules.
5. Your Content
“User Content” means photographs, images, sketches, drawings, floor plans, text, prompts, materials, project information, feedback or other content that you upload, submit, create or store through Archibi.
As between you and Uritect, you retain ownership of the rights you already hold in your original User Content.
You are solely responsible for User Content you submit and for ensuring that you have all rights, permissions and consents necessary for Uritect and its service providers to process it.
You represent and warrant that:
(a) you own your User Content or have sufficient rights and permission to use and submit it;
(b) submitting and processing the User Content will not infringe another person’s copyright, trademark, privacy, publicity, contractual, moral or other rights;
(c) you have all legally required permissions from any identifiable person appearing in the User Content;
(d) the User Content does not violate these Terms or applicable law; and
(e) you are legally entitled to request the modifications or generations you ask Archibi to perform.
6. Photographs and Other Content Containing People
Do not upload an image containing a reasonably identifiable person unless:
(a) that person has given you sufficient permission for the photograph or likeness to be submitted to and processed by an AI service; or
(b) you otherwise have a lawful right sufficient for the particular processing and use.
Being photographed in a public location does not, by itself, satisfy this requirement.
Incidental-background exception: A photograph of a building, street, garden, landscape, public environment or similar subject may incidentally contain people in the distant or background portion of the image only where those people are not reasonably identifiable and are not the primary subject of the image.
If a background person is reasonably identifiable, you must obtain the required permission or crop, obscure or remove that person before uploading the image.
You must not submit through Archibi’s AI features an image, video or other personal data relating to a person under 18.
You must not use Archibi to create deceptive impersonations, harmful deepfakes, non-consensual intimate imagery, harassment, humiliation, defamation, fraud or misleading representations involving a real person.
7. License You Give Uritect to Process Your Content
You grant Uritect a non-exclusive, worldwide, royalty-free, limited and sublicensable license to host, store, copy, transmit, reproduce, resize, transform and otherwise technically process your User Content only to the extent reasonably necessary to:
provide the Services you request;
generate and deliver AI outputs;
store your projects and renders;
maintain, secure and troubleshoot the Services;
prevent fraud and abuse;
comply with applicable law; and
use service providers acting on our behalf.
This license allows Uritect to provide User Content to service providers such as Replicate and Black Forest Labs as necessary to perform AI requests.
The license does not transfer ownership of your original photographs or other User Content to Uritect.
The license ends when the applicable User Content is deleted from our systems, except to the extent continued retention is reasonably necessary for backups, security, dispute resolution, legal compliance or other purposes disclosed in our Privacy Policy.
If you intentionally publish or share content in a public Archibi gallery, Idea Bank or community feature, if such functionality is offered, you additionally grant Uritect a non-exclusive license to display and distribute that content for the purpose for which you made it public. We will not treat content stored privately in your account as publicly shared merely because you uploaded it.
8. AI Outputs and Intellectual Property
“Output” means an image, render, visualization or other content generated through an Archibi AI feature in response to your input.
As between you and Uritect, Uritect does not claim ownership of your Output merely because it was generated through Archibi.
To the extent Uritect receives transferable intellectual-property rights in an Output from the applicable AI provider, Uritect assigns or licenses those rights to you to the extent necessary for the use permitted by your Archibi plan.
However:
AI-generated material may not be eligible for copyright or other intellectual-property protection in every jurisdiction;
similar or identical outputs may be generated for other users;
an Output may contain or resemble material associated with third parties;
Uritect does not guarantee that an Output is unique or non-infringing; and
you remain responsible for obtaining any rights or clearances required for your intended use.
BFL itself currently states that FLUX outputs may be non-unique and may contain hallucinations or inaccuracies, and recommends human review before use.
Unless the purchase screen says otherwise, Free and Plus accounts are intended principally for personal use. Where Archibi advertises commercial usage rights as a Pro benefit, eligible Pro users may use Outputs commercially subject to these Terms, applicable law, third-party rights and any restrictions imposed by the underlying AI provider.
Commercial usage rights do not constitute a guarantee that a particular Output is copyrightable, registrable, exclusive or free of third-party rights.
9. Prohibited Uses
You may not use Archibi to:
(a) violate any applicable law or regulation;
(b) infringe intellectual-property, privacy, publicity or contractual rights;
(c) upload identifiable people without sufficient permission;
(d) submit images, videos or personal information relating to anyone under 18 through the AI features;
(e) create or distribute non-consensual intimate or sexual imagery;
(f) exploit, sexualize, groom, endanger or harm a minor;
(g) harass, threaten, stalk, defame, humiliate or abuse another person;
(h) impersonate a real person or create a deceptive deepfake without the permissions required by law and these Terms;
(i) facilitate fraud, phishing, identity theft or deceptive conduct;
(j) create unlawful hateful, violent or otherwise prohibited content;
(k) upload malicious code, viruses or security exploits;
(l) gain unauthorized access to the Services or another user’s account;
(m) circumvent credit limits, subscription controls, security mechanisms or technical restrictions;
(n) scrape, crawl, reverse-engineer or automate access to Archibi except where Uritect has expressly permitted it;
(o) resell or provide unauthorized shared access to your account;
(p) create multiple accounts to improperly obtain free credits;
(q) excessively or abusively use the Services in a way that harms availability for others;
(r) use AI Outputs as if they were verified architectural, engineering, building-code or safety documentation; or
(s) use Archibi in a manner prohibited by an applicable upstream AI provider’s enforceable usage restrictions.
Uritect may use automated or human measures to detect fraud, abuse, prohibited content or technical misuse to the extent permitted by law.
10. Subscriptions
Archibi may offer paid subscription plans, including Archibi Plus and Archibi Pro.
Subscriptions may be monthly or annual.
The exact price, billing frequency, credit allowance, features and renewal terms shown to you at the time of purchase form part of your agreement.
Unless expressly described as non-renewing, a subscription automatically renews for successive billing periods until cancelled.
For an annual subscription, you are charged the annual amount shown at checkout, not merely the displayed monthly equivalent.
Subscription fees may be subject to taxes, exchange rates and platform pricing.
If you subscribe through Apple’s App Store or Google Play, your subscription and payment are also subject to the applicable platform’s terms and billing systems.
If Uritect changes a subscription price, the new price will apply to a future renewal only after any notice, approval or consent required by applicable law or the applicable app store.
11. Cancelling a Subscription
You may stop future renewal at any time.
For an Apple subscription, cancellation ordinarily must be managed through your Apple subscription settings.
For a Google Play subscription, cancellation ordinarily must be managed through Google Play.
For a subscription purchased directly from Uritect, where offered, cancellation may be available through your Archibi account or the cancellation method shown at purchase.
Unless the applicable platform or law provides otherwise, cancelling stops the next renewal; it does not immediately terminate the paid access for the billing period you have already purchased.
Deleting your Archibi account does not necessarily cancel a subscription administered by Apple or Google. You are responsible for cancelling the applicable store subscription separately.
12. Subscription Credits
A paid subscription may include an allowance of AI renders, generations or “credits.”
One credit does not necessarily have to correspond forever to one particular type of generation. Different AI features may require different credit amounts where their cost or functionality differs, provided the required amount is disclosed in the interface before generation.
Unless your purchase screen expressly states otherwise:
subscription credits are issued or refreshed monthly;
unused subscription credits do not roll over to a future monthly credit cycle;
unused subscription credits expire when that credit cycle resets;
subscription credits have no cash value;
subscription credits cannot be sold, exchanged for money or transferred to another user; and
credits may only be used with an active eligible Archibi account.
For an annual subscription, the subscription term may be annual while included AI credits continue to refresh on a monthly schedule.
We may change future subscription credit allocations, feature pricing or consumption rates for future billing periods. We will not retroactively remove credits already validly consumed.
13. Top-Up Credits
Archibi may allow users to purchase additional AI credits separately from a subscription.
Unless clearly disclosed otherwise at purchase, paid top-up credits:
are non-transferable;
have no cash or stored monetary value;
cannot be resold or redeemed for cash;
may only be used within Archibi; and
do not expire while your account remains active.
Where technically feasible, Archibi should consume expiring subscription or promotional credits before non-expiring purchased top-up credits.
Free, promotional or welcome credits may expire on the date disclosed with the promotion.
If an account is closed or terminated for a material violation, unused credits may be forfeited to the extent permitted by applicable law. Nothing in this clause removes any non-waivable consumer right.
14. When a Credit Is Considered Used
A credit is considered consumed when Archibi successfully processes a generation request and makes the resulting Output available to you.
If no Output is returned because of a verified technical failure attributable to Archibi or its generation provider, Archibi may automatically restore the credit or provide an equivalent replacement credit.
An Output is not considered a technical failure merely because you dislike the style, composition, colour, furniture choice, realism or other creative characteristics of the result.
AI is probabilistic. A successful generation does not guarantee that the Output will match your prompt or expectations exactly.
15. Refunds
Your refund rights depend on where the purchase was made and the law applicable to you.
For purchases through the Apple App Store, refund requests and determinations are handled under Apple’s applicable purchase and refund process.
For purchases through Google Play, refund requests may be handled by Google, Uritect or another applicable merchant in accordance with Google Play rules and applicable law.
Uritect’s direct-purchase refund policy does not replace rights provided by Apple, Google or mandatory law.
For eligible purchases processed directly by Uritect, and only where applicable law does not provide a greater right, Uritect may approve a refund under the following policy:
| Purchase | Direct-purchase refund eligibility |
|---|---|
| Monthly subscription | Request within 48 hours of the applicable charge and no more than 10% of one monthly included credit allowance consumed since that charge |
| Annual subscription | Request within 36 calendar days of the applicable charge and cumulative subscription-credit use since that charge does not exceed 10% of one standard monthly credit allowance for the plan |
| Top-up credit pack | Request within 7 calendar days of purchase and no more than 10% of that top-up pack consumed |
Both the time test and usage test must be satisfied.
Credits restored because of a verified technical failure are not treated as consumed for purposes of the usage test.
Uritect may deny a discretionary refund where there is evidence of fraud, chargeback abuse, repeated refund manipulation, deliberate consumption followed by a refund request, or violation of these Terms.
Nothing in this section excludes a refund, cancellation or other remedy required by applicable consumer law.
Apple maintains its own consumer refund-request mechanism, while Google’s policy likewise makes refunds dependent on the purchase circumstances, timing and jurisdiction.
16. AI Is a Visualization Tool, Not Professional Advice
This section is particularly important.
Archibi is intended to help you explore and visualize ideas.
Archibi is not an architect, engineer, building official, contractor, interior-design professional, landscape architect, surveyor, code consultant, lawyer or other licensed professional.
AI-generated designs and renders may:
contain inaccurate dimensions or proportions;
show physically impossible construction;
depict materials or products that do not exist or are unavailable;
omit structural elements;
misrepresent doors, windows, stairs, railings or exits;
fail accessibility requirements;
conflict with zoning requirements;
conflict with building, fire, electrical, plumbing, mechanical or other codes;
contain unsafe design concepts; or
differ materially from what can be constructed in the real world.
An Archibi Output is not a construction drawing, permit drawing, engineering calculation, specification, code analysis, cost estimate, survey or certification of compliance unless Uritect explicitly states otherwise for a separate professionally supervised service.
Never rely solely on an Archibi render when making a structural, fire-safety, electrical, plumbing, mechanical, accessibility, zoning, permit or building-code decision.
Before construction or significant expenditure, you are responsible for consulting appropriately qualified professionals and the authorities having jurisdiction.
17. Find a Pro
Archibi may provide a directory, discovery feature, referral mechanism or contact tool through which users can find architects, designers, contractors, tradespeople or other service providers (“Professionals”).
Unless Archibi expressly states otherwise in connection with a specific program:
Uritect is not the employer, partner, agent or contractor of listed Professionals;
a listing is not a guarantee or certification of competence, licensing, insurance, availability, pricing or work quality;
Uritect does not guarantee information supplied by a Professional;
you are responsible for checking applicable licences, insurance, credentials, references, permits and contracts; and
any professional or construction agreement is between you and the Professional, not Uritect.
Uritect is not responsible for a Professional’s work, omissions, pricing, scheduling, conduct, safety practices or contractual performance except to the extent responsibility cannot legally be excluded.
Uritect may receive listing fees, referral compensation or other commercial benefits from certain Professionals. Where disclosure is required, Archibi will identify the commercial nature of the relationship.
18. Furniture and Décor Discovery
Archibi may identify or link to furniture, décor, finishes, materials or products offered by third-party retailers.
AI-generated visual matches are approximations. Archibi does not guarantee that a recommended product is the same product depicted in an AI Output.
Product descriptions, prices, dimensions, materials, colours, stock levels, shipping terms and warranties are controlled by third-party retailers and may change.
Purchases from an external retailer are transactions between you and that retailer and are subject to the retailer’s own terms and policies.
Uritect may receive an affiliate commission or referral fee when a user follows certain product links or makes a qualifying purchase. Where required, that commercial relationship will be disclosed.
19. Third-Party Services and Links
The Services may depend on or link to third-party services, including AI providers, cloud providers, authentication providers, analytics providers, app stores, payment providers, retailers and Professionals.
Uritect is not responsible for an independent third party’s service, website, content, availability or privacy practices merely because Archibi links to or integrates with it.
The third party’s own terms and privacy policy may apply when you interact directly with that third party.
20. Suspension, Restrictions and Termination
Uritect may investigate suspected violations of these Terms.
Where reasonably necessary to enforce these Terms, comply with law or provider requirements, protect another person, protect Uritect or maintain the security and integrity of the Services, Uritect may:
remove or restrict content;
block a generation request;
limit features;
freeze credits while an investigation is pending;
issue a warning;
temporarily suspend an account;
terminate an account;
prevent creation of replacement accounts; or
refer suspected unlawful activity to appropriate authorities.
Serious violations—including non-consensual person imagery, content involving minors, fraud, system attacks or repeated abuse—may result in immediate suspension or termination without advance notice.
BFL’s current developer terms require integrated developers to maintain end-user rules no less protective than BFL’s applicable requirements and to act when an end user violates them, which is one reason Archibi needs meaningful enforcement rights.
Where appropriate and legally permissible, you may ask us to review a suspension or termination by contacting [email protected].
Termination does not eliminate payment obligations or legal responsibilities incurred before termination.
21. Availability and Changes to the Services
AI providers, models, features and infrastructure evolve.
Uritect may add, modify, replace or discontinue features, AI models, limits or technical functionality.
We will use commercially reasonable efforts to avoid materially depriving a paid user of the core benefit already purchased for an active prepaid subscription term. Where a material discontinuation affects prepaid service, we may provide a substitute service, credit or refund where appropriate or legally required.
Uritect does not promise uninterrupted or error-free availability.
Maintenance, provider outages, network problems, model capacity, security incidents or events outside our reasonable control may temporarily interrupt the Services.
22. Archibi Intellectual Property
Except for User Content, user Outputs to the extent described above, third-party content and open-source components, Uritect and its licensors own the Archibi software, interface, branding, logos, website, databases, feature design and other proprietary materials.
Subject to these Terms, Uritect grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the Archibi app and Services for their intended purposes.
You may not copy, resell, reverse-engineer, exploit or create unauthorized derivative products from Uritect’s proprietary technology except to the extent a restriction is prohibited by applicable law.
23. Feedback
If you voluntarily provide suggestions or ideas about improving Archibi, you grant Uritect a perpetual, worldwide, non-exclusive, royalty-free right to use that feedback to develop and improve Uritect’s products and services.
This provision does not give Uritect ownership of photographs, projects or other User Content merely because you contact support.
24. Privacy
Our Privacy Policy explains how Uritect collects, uses, shares, stores and deletes personal information.
Use of third-party AI requires data processing that is described in that Policy. Where consent is legally required, we will ask for consent separately.
25. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Archibi and the Services are provided “as is” and “as available.”
Uritect does not warrant that:
the Services will always be available;
every generation will be accurate or useful;
AI Outputs will be unique;
an Output will be suitable for construction;
an Output will comply with applicable codes or laws;
a Professional or retailer will meet your expectations; or
the Services will be free from every defect or interruption.
Nothing in this section excludes warranties, guarantees or statutory rights that cannot lawfully be excluded.
26. Limitation of Liability
To the maximum extent permitted by applicable law, Uritect and its directors, officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, exemplary or consequential loss, including lost profit, lost business, lost opportunities, loss of data or the cost of construction undertaken in reliance on an AI visualization.
To the maximum extent permitted by applicable law, Uritect’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:
CAD $100; or
the amount you actually paid to Uritect for the Services during the twelve months immediately before the event giving rise to the claim.
These exclusions and limits do not apply to liability that applicable law does not permit Uritect to exclude or limit, including any liability that cannot legally be limited for fraud, intentional misconduct or other protected matters.
27. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Uritect and its directors, officers and employees from third-party claims, damages and reasonable costs arising from:
User Content for which you did not have sufficient rights or permissions;
your infringement of another person’s intellectual-property, privacy or publicity rights;
your unlawful or prohibited use of Archibi;
your commercial use of an Output in violation of these Terms; or
your material breach of these Terms.
This obligation does not apply to the extent a claim was caused by Uritect’s own unlawful conduct, negligence where liability cannot be excluded, or another matter for which indemnification cannot legally be required.
28. Governing Law and Disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Before commencing a court proceeding, you and Uritect agree, where reasonable, to attempt in good faith to resolve the dispute by written notice. A notice to Uritect may be sent to [email protected] and should describe the problem and requested resolution.
If the dispute is not resolved within 30 days, either party may pursue remedies available under applicable law.
Subject to any mandatory consumer-law right to bring a claim elsewhere, you and Uritect submit to the courts located in Ontario, Canada.
Nothing in this section prevents either party from seeking urgent injunctive relief, using an eligible small-claims procedure, or exercising non-waivable consumer rights.
These Terms intentionally do not impose a mandatory consumer arbitration or class-action waiver. Uritect should obtain specific legal advice before adding such provisions.
29. Changes to These Terms
Uritect may update these Terms to reflect changes in the Services, AI providers, business operations, security practices or applicable law.
For non-material changes, we may update the “Last Updated” date and post the revised Terms.
For a material change that affects users’ rights or obligations, we will provide reasonable additional notice, such as an in-app notice or email, where required or appropriate.
Where required by law, we will obtain renewed affirmative acceptance.
Changes will apply from the stated effective date and ordinarily will not retroactively alter rights relating to a completed transaction.
If you continue using Archibi after revised Terms become effective, that continued use constitutes acceptance to the extent permitted by applicable law. If you do not accept revised Terms, you should stop using the Services and cancel future renewal.
30. Miscellaneous
If part of these Terms is found unenforceable, the remainder will remain effective to the extent permitted by law.
Our failure to enforce a provision once does not waive our right to enforce it later.
You may not assign your account or these Terms without Uritect’s permission. Uritect may transfer these Terms in connection with a merger, reorganization, financing, sale of assets or similar corporate transaction, subject to applicable privacy and consumer law.
These Terms, the Privacy Policy and any purchase-specific terms displayed when you subscribe constitute the applicable agreement between you and Uritect concerning the Services.
